This Agreement\briefing sheet\quotation is between (You) (including your directors, employees, officers, contractors, agents, principals, or any related body corporate or affiliate) and Hitesh Daudia, trading as H D Ventures Limited c/o HD Images (HDI). A deposit of 20% of the total cost of the project will be taken 14 days prior to any contracted assignment to secure your event date.Full balance must be cleared 7 days before the event commences. Any overdue payment on the balance from the date of the event will be charged on a daily basis at Bank of England (BoE) rate+8%. Unless you choose our mentoring packages then payment in full must be made prior to commencement.
You are indicating that you are 18 years old, and agree to be bound by all the terms of this agreement\briefing sheet\proposal. HDI may change the terms of this Agreement\briefing sheet\Proposal at any time and without prior notice.
Licence: HDI grants you a non-exclusive, revocable licence to reproduce the Image solely for the purpose specified in the initial consultation. The Image(s) may not be used for a purpose other than the specified purpose without prior written consent of HDI. Any team member of HDi may verbally ask YOU, if not possible in written form, if it is OK to capture your image or video on camera for any project you may be involved in, before they proceed to do so. If YOU have already agreed to be involved in any project,seminar etc verbally or written, then your right to object to the images or video footage with logos to be shown on the HDi website or any other affiliation has been removed. YOU have no right, title or interest in any of the Images or video footage(Only at the discretion of HDI). Unless agreed by HDI, no modifications may be made to any of the images, except for resizing, colour correction, removal of minor imperfections and moderate cropping. All rights not expressly granted in this Agreement. For use in all media now known or which may be developed in the future are reserved by HDI. You must pay the fee for the specified purpose (Licence Fee) in accordance with the payment terms specified in the Quotation\Invoice form.
All images will be sized 6"x4" colour and slight cropping of images will occur to accomodate the image, this is normal practice as standard. All packaging will be standard to protect the print from damage, unless specified in written form to HDI.
Use of Images:You agree not to use any of the images in a manner which would contravene any law of any country in which any of the Images are to be published, including laws of defamation, obscenity, profanity, and laws protecting rights of privacy and intellectual property. You agree to comply with all reasonable requests of HDI to withdraw any of the Images from publication for potential illegality or legal liability. You must inform HDI promptly of any claim of legal liability concerning the use of any of the Images. Except as provided in this Agreement, the Hitesh Daudia Images and HDI logos and names may not be used in any way without prior written permission of HDI.
Attribution of Images: In any editorial use of an Image in any medium, You must include a credit, or procure a credit, next to each Image in the form specified © www.hdimages.co.uk , However if this is not possible due to the nature of the publication. Then the form on the credit page as Photographer: www.hdimages.co.uk. Before publication of an Image (or where impractical, as soon after publication as is reasonably possible), You must provide HDI with a copy of any publication or document in which an Image is included. If this is not feasible due to the nature of or the medium of publication, you must inform HDI of this in writing before hand.
Provision of Transparencies: If original transparencies of Images are supplied to you by HDI, you will be responsible for any loss or damage to those transparencies. From the time they are handed over to you, until the delivery to HDI. Hence if posting the transparencies you must make arrangements for proper packaging. You agree to pay HDI £1000 UK sterling per image only for lost or damaged transparencies e.g. scratches, discolouration, cuts.
Releases and Licenses: Unless HDI specifically states on the Quotation form that HDI has secured a relevant release or license, in respect of a particular Image, to allow reproduction of that Image. A costing of this can be discussed according to the image taken. Otherwise a fee negotiated per image must be paid to HDI. HDI does not make any representation or warranty with respect to the use of names, likenesses, logos, uniforms, buildings, signs, registered or copyrighted designs, or works of art depicted in an Image. You are responsible for ensuring that all necessary rights, consents, licenses or permissions that may be required are obtained prior to publication, reproduction or other use of an Image, except only for those releases or licenses that HDI has specifically stated on the order form to have been secured. You indemnify HDI and hold it harmless against any liability, damage, cost or expense arising out of or in connection with any failure on Your part to obtain any necessary rights, consents, licenses or permissions.
Infringement of Copyright: You must notify HDI of any activity of a third party which you become aware, which infringes, or may infringe, the copyright in any Image or Intellectual Property of Mentoring Information. If there is infringement of copyright in any Image or Mentoring Information. You agree to provide assistance to HDI as reasonably required by HDI. Including being joined in any proceeding at HDI’s expense. If HDI takes legal proceedings at its own expense. HDI will be entitled to retain all the financial gain recovered in those proceedings, including any sums ordered to be due to you. HDI will be under no obligation to take any action in the event of infringement.
Sensitive Subjects: If You intend to use the Image for sensitive subjects, including (but not limited to) contraception, matters of a sexual nature, substance abuse, physical or mental abuse, alcohol, tobacco, AIDS, cancer, other serious physical or mental diseases or the belittling of a person or product. You must obtain the prior written consent of HDI. HDI reserves the right not to permit the use of an Image for any reason, without explanation to the client. If You use an Image in those circumstances without HDI’s prior written consent. You indemnify HDI and hold it harmless against any liability, damage, cost or expense arising out of or in connection with that use.
No Liability: To the maximum extent permitted by law, HDI will not be liable to you in any way for loss or damages of any kind, including (without limitation) any consequential, special, indirect or direct damages, loss of data, or loss of profits in any way connected with or arising out of this Agreement whether verbal or written. Including any computer virus contained in an Image. Even if damages may reasonably be supposed to have been in the contemplation of HDI and You, at the date written or verbally spoken as a probable result of any act or omission.
Delivery: Depending on the clients requests, mentoring information, mp3, pdfs will be sent via email for download purposes. Delivery of photobooks or materials can take between 4 to 12 weeks.But this could be longer if the assignment is more complex. During the manufacturing process of products minor imperfections can occur, please understand will do our upmost to avoid this, but sometimes it cannot be helped.The customer has 5 working days, to let us know if delivery is incorrect or goods damaged in transit, there after we are not able to rectify the issue. Should the client not select the images within 1 week of being online. They will be charged £12 per week for web space usage. All finished products will be delivered together as a total package to the client. No items will be sent out individually e.g prints,cd's, albums, frames etc. If the client requests this they will need to pay for separate postage charges.
Termination: In the event of breach by you of this briefing sheet\agreement\proposal, HDI will give you 30 days written notice (notice period) to rectify the breach. This Agreement will automatically terminate upon the expiry of the notice period if you have not rectified the breach. Upon termination or expiration of this Agreement for any reason
(i) all rights granted to you will automatically revert to HDI.
(ii) You must immediately cease any use of Images\Mentoring Information and must delete the Images\Mentoring Information and all copies of them from electronic and or magnetic media and destroy all other copies of the Images\Mentoring information, or upon request by HDI, return all those copies to HDI.
(iii) You must immediately return to HDI any original transparencies and DVD(s),Mentoring Materials provided to you.
Cancellation: In the event the client should cancel any project 14 days prior to the start date a 25% fee will be charged, 7 days 50%, and on the day 100% (this includes a Friday evening for a project due to start on Monday morning). Should a client cancel before completion, a 25% cancellation fee will be charged from the agreed total project cost.
Assignment: You may not assign, license or transfer any rights granted to you or any of your obligations under this Agreement without the express written permission of HDI.
Enforceability: If any provision of this Agreement is held unenforceable, that provision will be deleted only to the extent necessary, and the other provisions of this Agreement will remain in full force and effect.
Entire Agreement: This website agreement contains the entire agreement between the parties relating to your use of the Image\ Commissioned work\Mentoring Materials and supersedes any previous agreement concerning use of the Image\Mentoring Information between the parties, including any oral agreement.

HDI, any other party (whether or not involved in creating, producing, maintaining or delivering this HDI Website), and the officers, directors, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party, (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise in connection with this HDI Website in any way or in connection with the use, inability to use or the results of use of this HDI Website, any websites linked to this HDI Website or the material on such websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing this HDI Website or your downloading of any material from this HDI Website or any websites linked to this HDI Website. This Agreement will be interpreted, construed and governed by or in accordance with the English law, United Kingdom. Any dispute arising under this Agreement must be referred to arbitration in accordance with the Commercial Arbitration Act.
